Team8 Terms and Conditions

1. Agreement to Terms

By downloading, installing, or using Team8 ("the App"), owned and operated by Team8 Ltd. ("we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you must not use the App.

2. License

Team8 grants you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial purposes, subject to these Terms.

3. User Accounts

3.1 Account Creation

To use certain features of the App, you must register for an account using Google, Apple ID, or Facebook. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.3 Account Termination

We reserve the right to suspend or terminate your account and access to the App if you violate these Terms or if we reasonably believe you have violated these Terms.

4. User Conduct

4.1 Prohibited Activities

You agree not to:

• Use the App in any way that violates applicable laws or regulations.
• Impersonate any person or entity or misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the App or servers or networks connected to the App.
• Attempt to gain unauthorized access to any portion of the App or any other systems or networks.
• Use the App to send unsolicited communications.
• Use the App for any purpose that is unlawful or prohibited by these Terms.

4.2 Enforcement and Consequences

Violations of these Terms may result in:

• A warning for first-time or minor violations.
• Temporary suspension of your account for repeated violations.
• Permanent termination of your account for serious or persistent violations.
• Reporting to appropriate authorities for illegal activities.

We reserve the right to determine, at our sole discretion, what constitutes a violation and the appropriate consequence based on the nature and severity of the violation.

5. Team and Game Information

5.1 Content Ownership

You retain ownership of any information you submit through the App, including team rosters, schedules, and communication with team members.

5.2 License to Team8

You grant Team8 a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, and display content you upload or share through the App for the purpose of operating and improving the App.

5.3 Data Retention

Following account deletion, we will retain your data for 30 days for backup purposes, after which non-essential personal data will be permanently deleted. Anonymized or aggregated data may be retained for analytical purposes. Some information may be retained longer if required by law or for legitimate business purposes such as fraud prevention.

6. Intellectual Property

6.1 App Ownership

The App, including its content, features, and functionality, is owned by Team8 and is protected by copyright, trademark, and other intellectual property laws.

6.2 Restrictions

You may not:

• Modify, copy, or create derivative works based on the App.
• Reverse engineer, decompile, or disassemble the App.
• Remove any copyright or other proprietary notices from the App.
• Transfer the App or your rights to use the App to another person.

7. Third-Party Services

The App may contain links to third-party websites or services that are not owned or controlled by Team8. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

9.1 General Limitation

IN NO EVENT SHALL TEAM8 BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

9.2 Third-Party Services

TEAM8 EXPRESSLY DISCLAIMS ANY LIABILITY ARISING FROM:

• THE FUNCTIONALITY, PRIVACY PRACTICES, OR SECURITY OF THIRD-PARTY AUTHENTICATION SERVICES (GOOGLE, APPLE ID, FACEBOOK);
• ACTIONS TAKEN BY THIRD-PARTY SERVICES WITH RESPECT TO YOUR ACCOUNT OR INFORMATION;
• INTERRUPTIONS OR ERRORS IN THIRD-PARTY SERVICES THAT MAY AFFECT YOUR ACCESS TO THE APP;
• CHANGES TO THIRD-PARTY SERVICE POLICIES OR FUNCTIONALITY.

YOU ACKNOWLEDGE THAT YOUR USE OF THESE THIRD-PARTY SERVICES IS GOVERNED BY THEIR RESPECTIVE TERMS OF SERVICE AND PRIVACY POLICIES.

10. Indemnification

You agree to indemnify and hold harmless Team8 and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses arising from your use of the App or your violation of these Terms.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes through the App or by other means. Your continued use of the App after such modifications constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.

13. Dispute Resolution

13.1 Process

Any dispute arising from these Terms shall be resolved through:

• Good faith negotiation between the parties.
• If negotiation fails, through binding arbitration in the state of Colorado, United States, according to the rules of the American Arbitration Association.

13.2 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES WITH TEAM8 ON AN INDIVIDUAL BASIS ONLY. BY ACCEPTING THESE TERMS, YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING AGAINST TEAM8.

13.3 Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of small claims courts.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full effect.

15. Entire Agreement

These Terms constitute the entire agreement between you and Team8 regarding the App and supersede all prior agreements and understandings.
